Applicability and validity of the conditions

 In our General Conditions the following is understood

• Golden River Music: Golden River Music BVBA/LLC, established in Korte Haagstraat 13, 9200 Dendermonde, TVA 0476 725 108;
• Customer: every natural person that enters into an agreement with Golden River Music;
• Website: the website managed by Golden River Music: www.goldenrivermusic.eu

These conditions apply to all offers on the Website of Golden River Music, and to all agreements entered into through the Website with Golden River Music.

By using the Website and/or placing an order, the client accepts all our general conditions, and all rights and obligations as they appear on the website.

The General Conditions applied by the Client are not valid without explicit and written agreement. In the event that certain differing conditions are agreed upon, all other clauses contained in these conditions will remain valid, unabridged.

Golden River Music is entitled to use third parties in the execution of an agreement with the Client.

Golden River Music retains the right to change and/or add to these General Conditions for future orders.

Offers and Proposals

All offers and proposals are not binding, unless a time period for acceptance is included. Under this we retain the right to revoke within two (2) days after receipt.

A proposal in name has a validity period of two (2) weeks, unless another time period is stated within this proposal.

An agreement is made at the time that a confirmation of the order is presented to the Client, either in writing or by email to the email address submitted by the Client.

The Client and Golden River Music agree that through the use of electronic communication a valid agreement may be completed. The lack of a signature does not lessen the binding force of the acceptance of the offer. To the extent that is legally allowed, the electronic files received by Golden River Music, will apply as proof of agreement

Golden River Music strives to represent the current supply status for all articles on the Website. If the ordered product is not in stock, despite this being advertised on the Website, the Client will be informed.

Golden River Music has the right to refuse an assignment without giving a reason.

Prices

All prices are in Euro. The prices are always inclusive of VAT (6%).

The Client owes the sum that Golden River Music communicated in accordance with art. 2.3 of these General Conditions. Mistakes, such as evident errors may be corrected by Golden River, even after the agreement.

Discounts are – where present – granted per agreement and does not entitle the same discounts in the following agreement.

Payment

Payment of orders placed via the Website can be made through PayPal, Bancontact/Mister Cash and IDEAL. The Client must make payment, after the receipt of the invoice in order for the goods to be sent. Payment related costs are the responsibility of Golden River Music.

Payment of orders placed through mail, phone or fax may be sent via wire transfer. The client must make the payment within thirty days after receipt of the invoice into the account of Golden River Music.

Golden River Music may expand their payment options in the future. This will be announced on the Website.

When Golden River Music agrees to a payment term, the Client is negligent when that term has passed. Unless explicitly agreed otherwise, the payment term for wire transfer payment is as indicated in art. 4.2.

If the Client does not pay or pays late, the Client must pay the legal interest rate, to be counted from the day on which the payment should have been made until the day of complete payment.

Extra judicial costs of any nature which Golden River Music has incurred because of the Client not fulfilling their payment obligations are paid by the Client.

If the Client pays late, Golden River Music has the authority to suspend all further deliveries to such time in which the Client has paid in full, including the interest owed and/or related costs.

Return of goods – Right of withdrawal

The law “distance sale” provides the right of dissolution of the sale within a time period of 14 calendar days after the sale, to be counted from the day after delivery to the consumer. The consumer may therefore use the right of withdrawal. The product purchased may be exchanged completely and unused or returned in the original undamaged packaging (to the extent where this is possible). Exceptions: The following articles may not be exchanged and/or returned:

• Software, DVD’s, CD’s with a broken seal.
• Music books, -scores with clear evidence of use or having been copied.
• Digital scores.

The Client must pay for the cost of returning an article. The articles must be returned in sufficient packaging to arrive undamaged at Golden River Music. If the Client paid an amount pro forma, Golden River Music will return this amount promptly, no later than 30 days after the return of the article, in the same manner as the payment was received.

Complaints and returns

The Client must inspect the order immediately after receipt. Complaints regarding the order must be done in writing or email at This email address is being protected from spambots. You need JavaScript enabled to view it., no later than 7 days after the receipt of the order.

Unless otherwise agreed upon beforehand, all return related costs of the order or portions of it with Golden River Music are the Client's responsibility.

When the Client, without complaint, renounces their sale within 14 days in accordance with the WHPC, the return costs related to the order or portions of it to Golden River Music are the Client’s responsibility.

In the event of a return after a renouncement according to the WHPC, Golden River Music will strive to pay to the amount, which the Client paid to Golden River Music within 10 workdays after receipt of the return shipment, made via wire transfer to the Client's account.

Golden River Music may never be held liable for any damages – loss or theft included – that is caused to the products or packaging during the return.

Liability

Should the goods delivered by Golden River Music be faulty or deficient, they will be replaced or repaired within the relevant warranty term set by Golden River Music and conditions as prescribed by Belgian Law. Golden River Music will be the owner of the returned goods.

In the event of force majeure, Golden River Music is not required to meet its obligations towards the Client. Golden River Music may suspend its obligation for the time period of the force majeure.

Force majeure is every circumstance that makes the fulfilment of the obligations of Golden River Music toward the Client, completely or partially impossible. This includes strikes, fire, operational failure, energy failure, failure in a telecommunication network, and non or late delivery by suppliers or other third parties.

Intellectual property

The Client explicitly recognizes that all rights of the intellectual property of the represented information, announcements or other expressions in relation to the Website lie with Golden River Music, its subcontractors or other entitled parties.

Intellectual property rights are: patent, author, copyright, brand, drawing and model rights and/or other rights, including whether or not patentable technical and/or commercial knowhow, methods and concepts.

Privacy

Golden River Music will take into account the relevant laws and regulations regarding the Client’s data.

Under no circumstances will Golden River Music sell or make public Client’s email address, nor pass on personal information to any third party, with exception of third parties that are used to deliver the goods ordered.

Dispute arrangement and applicable law

Only Belgian law applies to all offers and agreements.

The applicability of the Vienna Sales Convention (VSC) is explicitly excluded.

All disputes in relation to or resulting from an offer by Golden River Music or agreements made with Golden River Music will be presented to the competent judge in Dendermonde, unless an urgent legal clause explicitly appoints another judge.

Miscellaneous clauses

The registered office of Golden River Music is at 9200 Dendermonde, Korte Haagstraat 13, under company registration number BE 0476 725 108. If any clause of these General Conditions is illegal, void or not enforceable for any other reason, then this clause will be separated from these General Conditions and will not influence the validity and enforceability of other clauses. These General Conditions are the complete agreement between the Client and Golden River Music in relation to the included matter.

Shipping costs

For shipments per post, the rates + 1 euro are charged as contribution to the delivery and administration costs.

The postal charges depend on the weight of the order.

• Prices are calculated according to the postal rates which also depend on whether the shipment is within Belgium or outside.
